# TERM & POLICY
These Term & Policy consolidate the overall rules for all visitors, buyers, sellers and wholesale partners of Kaioride Auto Spare Parts Trading Limited. Browsing our website, submitting inquiries or placing orders means you fully read, understand and accept all provisions hereunder.

### <strong>1. GENERAL DEFINITION</strong>
"Company" refers to Kaioride Auto Spare Parts Trading Limited. "User / Buyer" means customers who send inquiry or purchase goods. "Seller / Supplier" means our cooperative vendors. "Website" means the official website owned and operated by the Company.

### <strong>2. QUOTATION & PRICING</strong>
All quotations are valid for 7 working days unless extended in writing. Prices are subject to adjustment due to exchange rate, raw material cost and stock fluctuation. Quoted prices do not cover freight, cargo insurance, destination customs duties, import tax and local charges.

### <strong>3. ORDER & PAYMENT</strong>
An order becomes legally binding only after the Company issues a Proforma Invoice (PI) and receives agreed deposit. Oral conversations, chat messages or preliminary quotes shall not constitute formal contracts. Main payment method is T/T telegraphic transfer. Balance payment must be settled before shipment unless written special agreement exists. The Company can suspend or cancel orders for overdue payment.

### <strong>4. PRODUCT & PART MATCHING</strong>
Buyer shall provide accurate VIN code, part number, vehicle model, year and specifications. The Company matches spare parts merely according to information submitted by buyer. The Company is not responsible for mismatched parts arising from wrong or incomplete buyer information.

### <strong>5. DELIVERY, SHIPPING & RISK TRANSFER</strong>
Lead time shown on PI is estimated only. Delays may result from stock shortage, supplier problems, customs inspection, bad weather and force majeure. The Company will notify buyers of major delays but shall not compensate indirect loss caused by late delivery. Once goods leave our warehouse, risk of loss, theft or damage transfers to buyer. Buyer bears all destination customs clearance fees and import taxes.

### <strong>6. INSPECTION, CLAIM, RETURN & REFUND</strong>
Buyer must inspect goods within 7 working days after receiving cargo. Any claims for shortage, damage or manufacturing defects must be submitted with clear photos and video evidence within this time frame. Claims submitted after expiry will not be accepted.
Returns & refunds are only approved for confirmed factory manufacturing defects. Wrong parts selected by buyer, consumable wear parts and minor cosmetic scratches without functional impact are non-refundable and non-returnable. Return shipping fees are on buyer unless agreed in writing.

### <strong>7. WHOLESALE RULES</strong>
Wholesale price is available for registered business customers with tiered discount based on order volume. Some items require MOQ. Wholesale customers shall keep wholesale pricing and discount information confidential.

### <strong>8. SUPPLIER OBLIGATIONS</strong>
Cooperating suppliers must guarantee product authenticity and quality, no counterfeit or infringing goods. Suppliers shall bear all legal liabilities and compensation if IP disputes or quality issues occur. All business data shared by the Company must be kept confidential.

### <strong>9. INTELLECTUAL PROPERTY RIGHTS</strong>
All trademarks, logos, texts, images and technical data displayed on the website belong to the Company or authorized suppliers. No unauthorized copying, reproduction or commercial usage.

### <strong>10. CONFIDENTIALITY</strong>
All parties shall keep commercial information, pricing, order details and customer data confidential. Without written permission, no disclosure to any third party.

### <strong>11. POLICY AMENDMENT</strong>
Kaioride Auto Spare Parts Trading Limited reserves the right to revise this Term & Policy without prior notice. The latest version takes effect once published on the official website. Continued use of website or business cooperation represents acceptance of updated terms.

### <strong>12. GOVERNING LAW & DISPUTE</strong>
This agreement is governed by the laws of Hong Kong SAR. All disputes shall first be resolved through friendly negotiation. If negotiation fails, disputes will be settled in Hong Kong.
